These Terms and Conditions (“Terms”) govern your use of the Assent Trading website and any quotation, order or supply of products through it. By accessing the website, submitting a Request for Quotation (RFQ) or placing an order, you agree to these Terms. If you do not agree, please do not use the website.

Assent is a supplier of industrial electrical and electromechanical products from third-party manufacturers. We are not the manufacturer of the products listed unless stated otherwise.

3. Product Information

We take reasonable care to ensure product descriptions, images, specifications and datasheets are accurate. However, this information is largely supplied by the manufacturers and may change without notice. Images are for illustration only, and actual products may differ in appearance. It is your responsibility to confirm that a product is suitable for your application before ordering. Please contact us if you need technical confirmation.

4. Requests for Quotation (RFQ)

• Submitting an RFQ through the website is a request for pricing and availability only. It is not an order and does not create a binding contract.
• A quotation is valid for the period stated on it (or 30 days if no period is stated), unless withdrawn earlier or unless stock or manufacturer pricing changes.
• A contract is formed only when we issue a written order confirmation or acceptance of your purchase order.

5. Orders and Acceptance

All orders are subject to acceptance by us and to product availability. We may decline or cancel an order, in whole or in part, if a product is unavailable or discontinued, if there is an error in pricing or description, if we cannot verify your details, or for any other reasonable cause. If we cancel an order that you have already paid for, we will refund the amount paid for the cancelled items.

6. Prices and Payment

• Prices are quoted in UAE Dirhams (AED) unless stated otherwise and, unless stated, exclude VAT and delivery charges.
• VAT and any other applicable taxes will be added at the prevailing rate.
• Payment terms will be as stated in our quotation or order confirmation. Unless otherwise agreed in writing, payment is due in full before dispatch.
• Where credit terms are agreed, invoices must be paid within the agreed period. We may charge interest on overdue amounts and suspend further supply until payment is made.
• Prices may change without notice before an order is confirmed.

7. Delivery

We deliver across the UAE and the GCC region. Delivery dates and lead times are estimates, not guarantees, and may depend on manufacturer availability, customs clearance and logistics. We are not liable for delays caused by events outside our reasonable control. Risk in the goods passes to you on delivery. Please inspect goods on receipt and notify us in writing of any visible damage or shortage within [3] days of delivery. For international shipments, you are responsible for import duties, customs charges and local regulatory requirements unless agreed otherwise.

8. Cancellations and Returns

Standard products in unopened, original condition may be returned within [7] days of delivery with our prior written approval. Returned items must be unused and in their original packaging. Special-order, made-to-order, customised and non-stock items cannot be cancelled or returned once ordered. Returns for change of mind may attract a restocking fee and you will bear the return shipping cost. If goods are faulty or not as ordered, we will arrange a replacement or refund in accordance with Section 9.

9. Warranty

Products carry the manufacturer’s warranty, the terms and duration of which vary by brand and product. We will assist you in making warranty claims. The warranty does not cover damage resulting from misuse, incorrect installation, unauthorised modification, normal wear and tear or use outside the product’s specifications. To the extent permitted by law, all other warranties and conditions, express or implied, are excluded.

10. Limitation of Liability

Nothing in these Terms excludes liability that cannot be excluded under applicable law. Subject to that, to the fullest extent permitted by law:

• our total liability arising from any order shall not exceed the price paid for the products concerned;
• we are not liable for indirect or consequential loss, including loss of profit, revenue, production, business or goodwill;
• we are not responsible for the selection of a product for a particular application, or for the design or safety of any system into which the products are installed.

11. Intellectual Property and Trademarks

The content of this website, including text, graphics, logos and layout, is owned by or licensed to Assent and is protected by intellectual property laws. You may not reproduce or use it for commercial purposes without our written permission. Brand names, logos and trademarks of third-party manufacturers (including Baumer, Dold, Icotek, Werma, Kriwan, Spohn & Burkhardt, Bussmann by Eaton and Fuhrmeister) belong to their respective owners. Their appearance on this website does not imply endorsement beyond any commercial relationship stated by Assent.

12. Privacy and Data Protection

We collect and use personal information (such as names, email addresses, phone numbers and company details submitted through forms and RFQs) to respond to enquiries, process orders and improve our services.
